It’s official: Walt Disney Co. and Reliance Industries have got the green light from the Competition Commission of India for a colossal $8.5 billion merger, set to create the country’s largest entertainment powerhouse. • This deal is set to combine a vast array of television channels, streaming services, sports rights, and content libraries, making them an unstoppable force in India’s media landscape. • Under the deal signed on February 28, Reliance’s Viacom18 and Disney’s Star India will merge through a court-approved scheme. • The joint venture, valued at ₹70,350 crore, will see Reliance pumping in ₹11,500 crore ($1.4 billion) to fuel the growth of this new media giant. • Post-merger, Reliance and its associates will hold a commanding 56% stake, Disney will retain 36.84%, and Bodhi Tree, a joint venture by James Murdoch and former Star India CEO Uday Shankar, will have 7.5%. • So, what makes this merger so powerful? • On the television front, Viacom18, under Reliance, already commands 40 channels, including well-known names like Comedy Central, Nickelodeon, and MTV. Meanwhile, Disney Star, a staple in Indian households, operates around 80 channels, renowned for everything from Hindi family dramas to Hollywood blockbusters. • When it comes to sports, Viacom18 holds the TV rights for domestic and international cricket managed by the BCCI, while Disney has secured IPL TV rights until 2027. Together, their networks span a wide range of genres—entertainment, sports, kids’ shows, documentaries, lifestyle content, and regional programming. • In the streaming space, the merger brings together two digital powerhouses. Disney holds the ICC match streaming rights in India through 2027, while Ambani’s JioCinema made headlines by outbidding Disney for IPL streaming rights for the same period. Combined, JioCinema and Disney’s Hotstar boast a massive content library exceeding 200,000 hours, featuring everything from TV dramas and movies to live sports events. • Hotstar, the second-most downloaded streaming app in India last year, offers blockbuster content like Marvel movies and National Geographic documentaries. In fact, Hotstar streamed seven of the top 15 most-watched original shows in India in 2022. • Meanwhile, JioCinema has been aggressively expanding its offerings, signing deals with The Pokémon Company and Warner Bros to bring even more international content to Indian viewers. • What’s next? • With the Competition Commission’s approval secured, the merger is set to move forward. According to media reports, Reliance anticipates getting the final nods from the National Company Law Tribunal and the Ministry of Information Broadcasting by September 15, with the integration kicking off before October. • During this phase, the companies will roll out the organizational structure for key managerial personnel, with the leadership team evaluating each business and determining what’s needed. The list of Key management personnel is reportedly ready and will be announced once all approvals are in. The entire integration process is expected to wrap up in just a couple of months. • However, with any merger of this scale, some roles will overlap and create redundancies.
