So, you should file a memorandum to insure your deal goes through, but one huge important part to make sure your verbage is appropriate. In order to lawfully record a memorandum of contract, you have to make a disclosure on your orignal purchase agreemant disclosing to your seller that you intend record a memorandum of contract. If you don't provide that disclosure you did it incorrectly and its not very enforcable. At the end of the day, the very best insurance of your deal not slipping through is rapport.
