Caldwell | 3 Best S. 826 (1863) • Generally, if a contracting party doesn’t timely perform its obligations, and performance is not excused, the party is liable for breach of contract. But suppose performance becomes impossible because, owing to unforeseeable circumstances, something essential to the contract ceases to exist. Should the non-performing party be held liable? In the 1863 case of Taylor versus Caldwell, England’s Queen’s Bench confronted this issue, producing what would become one of the most influential cases to American contract law. • Caldwell and Bishop owned a concert hall in Newington, England. In May 1861, they contracted to permit Taylor and Lewis to use the hall on four specific dates to stage various live shows. The contract spelled out each side’s many precise contributions to the shows. But the contract didn’t address what would happen if the concert hall were destroyed. • Before the date for the first show, the concert hall burned down without any party’s fault, making it impossible to stage a show there. Unsurprisingly, Caldwell and Bishop couldn’t fulfill their contractual obligation to provide the concert hall, there being no concert hall to provide. Even so, Taylor and Lewis promptly sued Caldwell and Bishop for traverse of the agreement, or what we today call breach of contract. • The trial court entered judgment for Taylor and Lewis.
